1. Introduction

1.1 These terms and conditions of use (“Terms”) govern the use of the Ya Yes online marketplace (the ‘Platform’), operated by World Diplomacy Services Ltd, a company incorporated in England and Wales (“Operator,” “we,” “us,” or “our”).

1.2 By accessing, browsing, or registering on the Platform, each user (“User,” “you”) agrees to comply with these Terms and to be legally bound by them.

1.3 The Platform serves as a digital intermediary connecting independent sellers (“Sellers”) and buyers (“Buyers”) internationally. The Operator does not own, sell, or control the products or services offered by Sellers on the Platform, unless expressly stated otherwise.

1.4 Users who do not agree to these Terms should refrain from accessing or using the Platform.

2. Definitions

In these Terms and Conditions:

  • “Platform” means the website accessible at www.ya-yes.com and all related subdomains or applications.
  • “Seller” means any natural or legal person who offers goods or services for sale on the Platform.
  • “Buyer” means any natural or legal person who purchases or intends to purchase goods or services from a seller via the Platform.
  • ‘User’ means both buyers and sellers registered on the Platform.
  • “Commission” means the fees charged by the Operator on certain transactions carried out, as defined herein.
  • “Special Categories” means the following sections of the Platform:
    • Art and Antiques
    • Leisure
    • Luxury
    • Tourism and Travel

3. Scope and Role of the Operator

3.1 The Platform provides an online space for Users to offer, sell, and purchase goods or services.

3.2 The Operator acts solely as an intermediary providing hosting and facilitation services. The Operator is not a party to any sales contract between a Seller and a Buyer, and does not guarantee the quality, authenticity, legality, or delivery of the products.

3.3 Unless expressly stated otherwise, all transactions are concluded directly between the Seller and the Buyer, who are solely responsible for their respective obligations.

3.4 The Operator may, at its discretion, provide technical assistance or customer service, but such assistance does not alter the Operator's limited role as an intermediary.

4. User Registration and Accounts

4.1 Access to certain features of the Platform requires registration and the creation of a personal account.

4.2 Users must be at least 18 years of age and provide accurate, complete, and up-to-date information.

4.3 Each user is responsible for maintaining the confidentiality of their login credentials and for all activities conducted under their account.

4.4 The Operator reserves the right to suspend or terminate any account that violates these Terms or applicable laws.

5. Seller Obligations

5.1 Sellers must ensure that all goods and services offered are legal, authentic, accurately described, and comply with all applicable laws and regulations, including consumer protection and product safety standards.

5.2 Sellers must disclose all essential product information, including price, specifications, condition, delivery time, and return policy.

5.3 Sellers are solely responsible for any taxes, customs duties, or other government fees arising from their sales.

5.4 Sellers must not offer for sale any prohibited, counterfeit, or restricted items.

5.5 Sellers are required to maintain appropriate records of their transactions conducted through the Platform.

6. Buyer Obligations

6.1 Buyers are encouraged to carefully review product listings before making a purchase.

6.2 Buyers are required to ensure compliance with import, customs, and local regulations applicable to the goods or services purchased.

6.3 Buyers must not misuse the Platform, engage in fraudulent activities, or attempt to circumvent Platform fees.

7. Commissions and fees

7.1 No commission applies to listings or transactions.

7.2 The operator reserves the right to change commission rates or introduce new fees after notifying the sellers concerned in writing or electronically.

8. Payments and transactions

8.1 The Platform supports a mixed payment model, as indicated in each listing:

(a) Online payment: via secure third-party payment services integrated into the Platform; or

(b) Direct payment: as agreed between the Buyer and the Seller outside the Platform.

8.2 When payments are processed online, the Operator may act as a payment facilitator through approved partners.

8.3 Funds collected on behalf of sellers may be held temporarily in separate accounts pending confirmation of the completion of the transaction.

8.4 The Operator is not responsible for payments made outside the Platform or for disputes arising from such agreements.

8.5 In the event of fraud, chargeback, or non-delivery, the parties concerned must contact each other directly. The operator may, at its discretion, assist in mediation, but has no obligation to refund or intervene legally.

9. Listings and content

9.1 Users must not upload or distribute content that is false, misleading, defamatory, or infringes intellectual property rights.

9.2 The Operator reserves the right to remove or suspend any ad or account that violates these Terms, applicable law, or the Platform's policies.

9.3 By posting content on the Platform, Users grant the Operator a non-exclusive, worldwide, royalty-free license to use, reproduce, and display such content for the purpose of operating and promoting the Platform.

10. Prohibited Items and Activities

10.1 Users are strictly prohibited from posting or engaging in transactions involving:

  • Counterfeit or fake items;
  • Weapons, explosives, or hazardous materials;
  • Illegal drugs or controlled substances;
  • Items that violate export/import restrictions;
  • Items that represent or promote hate speech, violence, or illegal activities.

10.2 The Operator reserves the right to report illegal ads or activities to the appropriate authorities.

11. Data Protection and Privacy

11.1 The Operator processes personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.

11.2 Details regarding data processing, storage, and user rights are set out in the platform's privacy policy, accessible via www.ya-yes.com.

11.3 Users consent to the processing of their data for purposes such as account management, facilitating payments, and communicating about transactions.

12. Liability and Indemnification

12.1 The Operator provides the Platform “as is” and “as available,” without warranty of any kind, either express or implied.

12.2 To the maximum extent permitted by law, the Operator shall not be liable for:

(a) indirect, incidental, or consequential losses;

(b) losses resulting from transactions between Users;

(c) interruptions or errors in the availability of the Platform;

(d) any content uploaded by Users.

12.3 Each User agrees to indemnify and hold the Operator harmless from any claims, damages, or expenses resulting from their use of the Platform, violation of these Terms, or violation of the rights of third parties.

13. Suspension and Termination

13.1 The Operator may suspend or terminate any account or access to the Platform, without notice, in the following cases:

  • Violation of these Terms or applicable law;
  • Fraudulent or abusive behavior;
  • Repeated negative comments or unresolved disputes.

13.2 In the event of termination, all outstanding obligations between Users remain enforceable.

13.3 The Operator shall not be liable for any losses resulting from such suspension or termination.

14. Applicable law and jurisdiction

14.1 These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales.

14.2 The courts of England and Wales shall have exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms, except where mandatory consumer law provides for alternative jurisdiction.
