1. Introduction

1.1 These Terms and Conditions of Use (“Terms”) govern the use of the Ya Yes online marketplace (the “Platform”), operated by World Diplomacy Services Ltd, a company incorporated in England and Wales (“the Operator”, “we”, “us”, or “our”).

1.2 By accessing, browsing, or registering on the Platform, each user (“User”, “you”) agrees to comply with and be legally bound by these Terms.

1.3 The Platform serves as a digital intermediary connecting independent sellers (“Sellers”) and buyers (“Buyers”) internationally. The Operator does not own, sell, or control the products or services listed by Sellers on the Platform unless expressly stated otherwise.

1.4 Users who do not agree with these Terms must refrain from accessing or using the Platform.


2. Definitions

In these Terms:

  • “Platform” means the website accessible at www.ya-yes.com and any related subdomains or applications.
  • “Seller” means any person or business entity listing goods or services for sale on the Platform.
  • “Buyer” means any person or business entity purchasing or intending to purchase goods or services from a Seller through the Platform.
  • “User” includes both Buyers and Sellers registered on the Platform.
  • “Commission” means the fee retained by the Operator from certain completed transactions, as defined herein.
  • “Special Categories” refers to the following sections of the platform:
    • Art & Antiques
    • Leisure activities
    • Luxury
    • Tourism & Travel

3. Scope and Role of the Operator

3.1 The Platform provides an online space enabling Users to offer, sell, and purchase goods or services.

3.2 The Operator acts solely as an intermediary providing hosting and facilitation services. The Operator is not a party to any sale contract between a Seller and a Buyer, nor does it guarantee product quality, authenticity, legality, or delivery.

3.3 Except where expressly stated, all transactions are entered into directly between the Seller and the Buyer, who are solely responsible for their respective obligations.

3.4 The Operator may, at its discretion, provide technical or customer support, but such support shall not modify the Operator’s limited intermediary role.


4. User Registration and Accounts

4.1 Access to certain features of the Platform requires registration and the creation of a personal account.

4.2 Users must be at least 18 years old and provide accurate, complete, and current information.

4.3 Each User is responsible for maintaining the confidentiality of their login credentials and for all activity conducted under their account.

4.4 The Operator reserves the right to suspend or terminate any account that violates these Terms or applicable laws.


5. Sellers’ Obligations

5.1 Sellers must ensure that all goods and services listed are lawful, authentic, accurately described, and conform to all applicable laws and regulations, including consumer protection and product safety standards.

5.2 Sellers must disclose all essential product information, including price, specifications, condition, delivery time, and return policy.

5.3 Sellers are solely responsible for any taxes, customs duties, or other governmental charges arising from their sales.

5.4 Sellers must not list prohibited, counterfeit, or restricted items.

5.5 Sellers are required to maintain appropriate records of their transactions conducted via the Platform.


6. Buyers’ Obligations

6.1 Buyers must review product listings carefully before making a purchase.

6.2 Buyers are responsible for ensuring compliance with import, customs, and local regulations applicable to the goods or services purchased.

6.3 Buyers must not misuse the Platform, engage in fraudulent activities, or attempt to bypass Platform fees.


7. Commissions and Fees

7.1 The Operator applies a commission of 3% on the final sale value of transactions made within the above indicated Special Categories.

7.2 No commission applies to listings or transactions outside these Special Categories.

7.3 The commission, when applicable, is automatically deducted from the Seller’s proceeds prior to remittance.

7.4 The Operator reserves the right to amend commission rates or introduce new fees with prior written or electronic notice to affected Sellers.


8. Payments and Transactions

8.1 The Platform supports a mixed payment model, as indicated in each listing:
(a) Online Payment: via secure third-party payment services integrated on the Platform; or
(b) Direct Payment: as agreed between Buyer and Seller outside the Platform.

8.2 When payments are processed online, the Operator may act as a payment facilitator through authorised partners.

8.3 Funds collected on behalf of Sellers may be held temporarily in segregated accounts pending confirmation of transaction completion.

8.4 The Operator is not responsible for payments made outside the Platform or for disputes arising from such arrangements.

8.5 In cases of fraud, chargeback, or non-delivery, the affected parties must contact each other directly. The Operator may, at its discretion, assist in mediation but bears no obligation to reimburse or intervene legally.


9. Listings and Content

9.1 Users shall not upload or distribute any content that is false, misleading, defamatory, or infringes any intellectual property rights.

9.2 The Operator reserves the right to remove or suspend any listing or account that violates these Terms, applicable law, or the Platform’s policies.

9.3 By posting content on the Platform, Users grant the Operator a non-exclusive, worldwide, royalty-free licence to use, reproduce, and display such content for the purposes of operating and promoting the Platform.


10. Prohibited Items and Activities

10.1 Users are strictly prohibited from listing or engaging in transactions involving:

  • Counterfeit goods or infringing items;
  • Weapons, explosives, or hazardous materials;
  • Illegal drugs or controlled substances;
  • Items violating export/import restrictions;
  • Items depicting or promoting hate speech, violence, or illegal activity.

10.2 The Operator reserves the right to report unlawful listings or activity to relevant authorities.


11. Data Protection and Privacy

11.1 The Operator processes personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.

11.2 Details regarding data processing, storage, and user rights are set out in the Platform’s Privacy Policy, accessible via www.ya-yes.com.

11.3 Users consent to the processing of their data for purposes including account management, payment facilitation, and communication regarding transactions.


12. Liability and Indemnity

12.1 The Operator provides the Platform on an “as is” and “as available” basis, without warranties of any kind, whether express or implied.

12.2 To the maximum extent permitted by law, the Operator shall not be liable for:
(a) any indirect, incidental, or consequential losses;
(b) any loss arising from transactions between Users;
(c) interruptions or errors in Platform availability;
(d) content uploaded by Users.

12.3 Each User agrees to indemnify and hold harmless the Operator from any claims, damages, or expenses arising from their use of the Platform, violation of these Terms, or infringement of third-party rights.


13. Suspension and Termination

13.1 The Operator may suspend or terminate any account or access to the Platform, without prior notice, in the event of:

  • Violation of these Terms or applicable law;
  • Fraudulent or abusive behaviour;
  • Repeated negative feedback or unresolved disputes.

13.2 Upon termination, any outstanding obligations between Users remain enforceable.

13.3 The Operator shall not be liable for any loss resulting from such suspension or termination.


14. Governing Law and Jurisdiction

14.1 These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales.

14.2 The courts of England and Wales shall have exclusive jurisdiction to settle any dispute arising under or in connection with these Terms, except where mandatory consumer law grants alternative jurisdiction.
